Please read these terms carefully before using our services

Welcome to Rebrand Global Logistics. These Terms and Conditions of Service ("Agreement") govern all freight

forwarding, courier, logistics, customs clearance, and warehousing services provided by Rebrand Global Logistics

("Company", "we", "us", or "our") to the account applicant ("Customer", "you", or "your"). By completing your account

registration, creating a shipping label, or tendering goods to the Company, you agree to be bound by all terms,

conditions, and liability limitations set forth below.

ACCOUNT REGISTRATION & SECURITY

1.1. Eligibility: Account registration is available to legal entities and individuals who are at least 18 years of age and

capable of entering into legally binding contracts under applicable law.

1.2. Account Accuracy: Customer agrees to provide true, accurate, current, and complete information during

registration and to promptly update such information to maintain its accuracy.

1.3. Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials, login

information, and API keys. Any shipments requested or actions taken under your account credentials will be deemed

authorized by you.

SCOPE OF SERVICES & BOOKING

2.1. The Company acts as a transportation intermediary, freight forwarder, or direct carrier depending on the specific

service tier selected (Air Freight, Ocean Freight, or Ground Distribution).

2.2. All shipment requests, and declarations must be submitted through our official online portal or approved

integration platforms. The Company reserves the right to refuse service, cancel shipments, or reject packages at its sole

discretion for safety, regulatory, or operational reasons.

CUSTOMER DECLARATIONS & CARGO STANDARDS

3.1. Packaging and Marking: Customer acknowledges that items received by Rebrand Global Logistics are packaged by third party sellers. The customer is responsible for ensuring that goods purchased are suitable for transport. Rebrand Global Logistics assumes no liability for loss or damage resulting from insufficient, improper, or defective packaging, labeling or marking by the original merchant or shipper.

The same applies for customer returns or shipment of products.

3.2. Weight and Dimensions: All rates are based on the greater of actual gross weight or volumetric (dimensional)

weight. The Company reserves the right to re-weigh and re-measure any shipment and adjust billing accordingly without

prior notice.

IMPORTANT NOTICE REGARDING PROHIBITED & RESTRICTED ITEMS:

The Customer is strictly forbidden from tendering illegal, hazardous, or non-compliant materials without prior express

written approval and complete regulatory documentation. Failure to comply may result in immediate account termination,

cargo forfeiture, and criminal reporting.

Hazardous Materials

Explosives, fireworks, flammable liquids/gases, radioactive substances, corrosive chemicals.

STRICTLY PROHIBITED without prior clearance under the Explosives Act and Customs Act. Requires an approved HazMat Transport Contract, NEPA clearance (where applicable), and compliance with Jamaica Fire Brigade transport protocols.

Regulated Goods

Firearms, ammunition, air guns, prescription drugs/pharmaceuticals, tobacco, alcohol, live animals, plant material.

REQUIRES SPECIAL PERMITS.


Firearms/Ammunition: Subject to the Firearms Act — requires permits from the Firearm Licensing Authority (FLA) and Trade Board import/export licenses.


Pharmaceuticals: Governed by the Pharmacy Act and Food and Drugs Act — requires Ministry of Health & Wellness permits.


Live Animals/Plants: Subject to the Animals (Diseases and Importation) Act and Plants (Quarantine) Act — requires Veterinary Services Division (VSD) or Plant Quarantine clearance.


Tobacco/Alcohol: Subject to the Customs Act and Public Health (Tobacco Control) Regulations.

Contraband & Illegal Items

Controlled narcotics, illegal drugs, counterfeit/pirated goods, stolen property, un-manifested goods.

STRICTLY PROHIBITED. Possession or movement violates the Dangerous Drugs Act, Trade Marks Act, and Proceeds of Crime Act (POCA). Any discovery will result in immediate seizure and mandatory referral to the Jamaica Constabulary Force (JCF) and the Jamaica Customs Agency (JCA).

Valuables & Negotiable Instruments

Cash/currency, bullion, precious stones, unendorsed securities, monetary instruments.

RESTRICTED / SPECIAL COVERAGE. Excluded under standard liability terms. Transport requires declared High-Value Transit Insurance. Movement of currency or negotiable instruments exceeding US$10,000 (or its JMD equivalent) must comply with mandatory cross-border declaration requirements under the Proceeds of Crime Act (POCA) and the Customs Act.

CUSTOMS CLEARANCE & REGULATORY COMPLIANCE

4.1. Appointment of Customs Agent & Power of Attorney

By booking international shipments, the Customer appoints the Company (or its designated, licensed Customs Brokers operating under the Customs Act of Jamaica) as its true and lawful agent and attorney to act on its behalf for customs clearance, entry processing, preparation and submission of documentation (including C78/C82 customs declarations to the Jamaica Customs Agency via ASYCUDA), and payment of applicable duties, taxes, and fees.

4.2. Duties, Taxes, Fees, and Administrative Fines

Unless expressly agreed in writing under Delivered Duty Paid (DDP) terms:

  • The Customer or designated consignee is solely liable for all statutory import duties, General Consumption Tax (GCT), Standard Compliance Fee (SCF), Environmental Levy, Customs Administrative Fee (CAF), storage, demurrage, and any clearance fees assessed by the Jamaica Customs Agency or port handlers.

  • If the consignee fails or refuses to pay all required duties, taxes, or handling fees upon arrival, or if goods are held for inspection, the Customer remains fully and unconditionally liable for all outstanding amounts, administrative penalties, and storage costs incurred.

4.3. Sanctions, Export Controls, and International Trade Regulations

The Customer certifies strict compliance with all applicable import/export control laws, trade sanctions, and regulations enforced by the Trade Board Limited (Ministry of Industry, Investment and Commerce), the Jamaica Customs Agency, and applicable international regimes (including UN sanctions incorporated under Jamaican law, as well as OFAC, BIS, and EU sanctions lists where applicable). The Customer warrants that shipments do not violate any local import restrictions, licensing mandates, or international trade embargoes.

RATES, INVOICING, AND PAYMENT TERMS

5.1. Rates and Surcharges

All quoted rates are rendered in Jamaican Dollars (JMD) unless expressly agreed otherwise in writing. Quoted rates are subject to adjustment without prior notice based on variable costs, including but not limited to fuel surcharges, peak-season volume surcharges, currency exchange rate fluctuations, Jamaica Customs Agency (JCA) examination and inspection fees, port storage/demurrage charges, and re-routing fees. All applicable local taxes, including General Consumption Tax (GCT), will be applied to eligible charges in accordance with the General Consumption Tax Act.

5.2. Payment Terms

Standard consumer and retail accounts operate on a pre-funded wallet balance or immediate payment via credit card/debit card/electronic funds transfer upon label generation or package arrival in Jamaica. Commercial credit terms (e.g., Net 15 / Net 30 days) are granted solely upon written credit approval following a completed credit application.

5.3. Late Payments, Default Interest, and Collection Costs

Invoices or balances unpaid past the stipulated due date shall accrue late interest at the rate of 1.5% per month (18% per annum) or the maximum simple interest rate permissible under the laws of Jamaica, whichever is lower. The Customer agrees to pay all reasonable costs incurred by the Company in collecting overdue amounts, including attorney-at-law fees (on an indemnity basis) and third-party debt collection agency fees.

5.4. Particular and General Lien on Cargo

Pursuant to the laws of Jamaica, the Company shall have a particular and continuing general lien on all goods, shipments, bills of lading, and documentation in its possession, custody, or control for any and all outstanding monies owed by the Customer to the Company (whether related to the specific shipment or prior unpaid invoices).

If any invoice remains unpaid for more than thirty (30) calendar days following written notice of default, the Company reserves the right, without further notice, to detain, sell by public auction or private treaty, or otherwise dispose of the retained goods to satisfy the outstanding debt and associated storage/realization costs, with any remaining net surplus refunded to the Customer.

LIMITATION OF LIABILITY & INSURANCE CLAIMS

6.1. Standard Liability Limit: Unless the Customer declares a higher value in advance on the Air Waybill / Bill of Lading and pays the applicable valuation fee, the Company’s total liability for lost, damaged, or delayed goods shall be strictly limited as follows:

  • Air Freight / Express Courier: Limited to 22 Special Drawing Rights (SDR) per kilogram (approx. US $30.00/kg or JMD equivalent) in accordance with the Montreal Convention as applicable in Jamaica.

  • Ocean Freight: Limited to US $500.00 (or JMD equivalent) per package or customary freight unit pursuant to the Carriage of Goods by Sea Act (Jamaica).

  • Ground Transportation (Local Courier): Limited to JMD $100.00 per pound (or US $0.50/lb equivalent) per package, up to a maximum of JMD $10,000.00 per shipment, unless a higher value is declared and insured.

6.2. Limitation of Consequential Damages: Subject to the mandatory provisions of the Consumer Protection Act of Jamaica, the Company shall not be liable for any indirect, incidental, special, punitive, or consequential loss or damages—including loss of profits, revenue, data, business opportunity, or market access—arising out of loss, damage, or delay of cargo, even if advised of the possibility of such damages.

6.3. Declared Value & Insurance: Customers requiring full cargo protection must declare the full shipment value prior to tendering the goods and pay the required insurance/declared value fee.

Notice of Claim Deadlines:

  • Visible Damage / Shortage: Must be noted on the delivery receipt at the time of delivery and formally reported in writing to the Company within three (3) calendar days of delivery.

  • Concealed Damage: Must be reported in writing within seven (7) calendar days of delivery.

  • Non-Delivery / Total Loss: Claims must be submitted in writing within thirty (30) calendar days of the scheduled or expected delivery date.

FORCE MAJEURE & CUSTOMS DELAYS

The Company shall not be liable for any loss, damage, delay, or failure to perform caused by events beyond its reasonable control, including but not limited to: acts of God, extreme weather conditions, natural disasters, epidemics or public health emergencies, war, civil unrest, strikes, mechanical failure of third-party carriers, or actions, holds, seizures, inspections, and detentions by the Jamaica Customs Agency (JCA) or any other competent regulatory authority acting under the Customs Act of Jamaica.

GOVERNING LAW & DISPUTE RESOLUTION

8.1. Governing Law: This Agreement and all services provided by the Company shall be governed by, construed, and enforced in accordance with the Laws of Jamaica.

8.2. Dispute Resolution & Jurisdiction: Any dispute, controversy, or claim arising out of or in connection with this Agreement or the services rendered shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved, the parties agree to submit to:

  • Binding arbitration in Kingston, Jamaica, conducted in accordance with the Arbitration Act, 2017 of Jamaica; or

  • The exclusive jurisdiction of the Courts of Jamaica (including the Supreme Court of Judicature of Jamaica or the Parish Courts, as applicable by claim value).

TERMINATION & ACCOUNT SUSPENSION

Either party may terminate this Agreement at any time with or without cause. The Company reserves the right to immediately suspend or terminate any customer account without prior notice in the event of suspected fraud, non-payment of outstanding invoices, breach of customs regulations, or non-compliance with applicable Jamaican law.

CUSTOMER REGISTRATION ACKNOWLEDGEMENT & CONSENT

By registering an account, you acknowledge that you have read, understood, and agreed to be legally bound by all terms, conditions, and liability limitations set forth in this Agreement under the Laws of Jamaica.
